These Terms and Conditions (“Terms”) govern your access to and use of PlexiSign (the “Service”), which operates through email-based signature workflows and utilizes blockchain technology for record integrity. By creating an account or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Service.
1. Definitions
- “Service” refers to the web-based electronic signature platform that enables users to send, sign, and manage documents electronically, with signature records stored and/or verified on a blockchain network.
- “User,” “you,” or “your” refers to any individual or organization accessing or using the Service.
- “Documents” refers to any files uploaded, sent, or signed through the Service.
- “Blockchain” refers to the distributed ledger technology used for signature verification and integrity tracking.
2. Eligibility
You must be able to form legally binding contracts to use the Service. By using the Service, you represent that you meet these requirements. These requirements may vary by region, country, or other localised governing body within which you operate.
3. Use of the Service
You agree to:
- Use the Service only for lawful purposes.
- Comply with all applicable laws and regulations related to electronic signatures and digital records.
- Not misuse the Service, including attempting to disrupt the platform or access unauthorized data.
The Service provides tools for electronic signature workflows, but you are solely responsible for the content, accuracy, and legality of Documents you upload or sign.
4. Legal Validity of Signatures
The Service is designed to support compliance with laws governing electronic signatures, including (where applicable) the U.S. ESIGN Act, UETA, and the EU eIDAS Regulation. However, the enforceability of any signed document depends on underlying legal requirements, and:
- The Service does not provide legal advice.
- The User is responsible for verifying whether an electronically signed document is enforceable for their specific use case or jurisdiction.
5. Blockchain Records
The Service may store or verify signature-related metadata on a blockchain network. This may include hash values or digital fingerprints of document records but will not include the content of private documents.
You acknowledge that:
- Blockchain records may be permanent and cannot be altered or deleted.
- Public blockchain networks may have inherent transparency and decentralization properties.
6. Privacy and Data Protection
We do not collect or retain user data – you are completely anonymous to the Service and you are responsible for protecting your account credentials and Service access.
7. Fees and Payment
Access to the Service may require usage-based charges. All fees are non-refundable unless required by law however we reserve the right to review and modify charges.
We reserve the right to modify pricing with advance notice.
8. Intellectual Property
All Service components—including software, trademarks, and branding—are owned PlexiSign.net. You may not copy, modify, resell, or distribute the Service without written consent.
9. Third-Party Services
The Service may integrate with third-party email services, storage providers, or blockchain networks. We are not responsible for failures or limitations of third-party systems.
10. Limitation of Liability
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, the Company disclaims all warranties and is not liable for:
- Indirect, incidental, consequential, or punitive damages.
- Loss of data, profits, or business opportunities.
- Any damages arising from the use or inability to use the Service.
Our total liability will not exceed the amount paid by you to use the Service in the 12 months prior to the claim.
11. Indemnification
You agree to indemnify and hold the Company harmless against claims arising from your misuse of the Service or unlawful use of Documents.
12. Termination
We may suspend or terminate access to the Service for:
- Violation of these Terms,
- Fraudulent or illegal activity,
- Failure to pay fees when due.
Termination does not limit our right to seek additional remedies.
13. Updates to Terms
We may update these Terms periodically. Continued use of the Service after changes constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the State of California (United States), without regard to conflict of law principles.
